These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by HUBi ("we," "our," or "us"), including but not limited to hubi.ca and all related platforms. By accessing or using our services, you agree to be bound by these Terms.
Acceptance of Terms
By accessing or using any HUBi service, you confirm that you are at least 18 years old and agree to comply with these Terms. If using on behalf of a business, you represent authority to bind that entity.
Our Services
HUBi provides AI-powered development services and platforms including custom AI tool development, Tradelink marketplace, automation and workflow tools, and custom web applications. We reserve the right to modify or discontinue any aspect of our services.
User Accounts
When creating an account, you agree to provide accurate information, maintain security of your credentials, and accept responsibility for all activities under your account.
Acceptable Use
You agree not to violate any laws, infringe on intellectual property, transmit harmful content, attempt unauthorized access, interfere with services, use automated means without permission, or impersonate others.
Intellectual Property
All content and functionality are owned by HUBi or our licensors. For custom development, IP ownership is governed by the specific agreement. Upon full payment, clients receive ownership of custom code.
User Content
You retain ownership of your User Content but grant HUBi a worldwide, non-exclusive, royalty-free license to use it in connection with providing our services.
Payment & Fees
All fees are in Canadian dollars (CAD). Late payments may incur 1.5% monthly interest. All fees are non-refundable unless otherwise stated. We may modify fees with 30 days' notice.
Disclaimers & Warranties
Services are provided "as is" and "as available" without warranties of any kind.
Limitation of Liability
To the maximum extent permitted by Canadian law, HUBi shall not be liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed amounts paid in the preceding 12 months.
Indemnification
You agree to indemnify and hold harmless HUBi from claims arising from your use of services, violation of Terms, or violation of third-party rights.
Termination
We may terminate access immediately for any breach. You may terminate by contacting hello@hubi.ca. Provisions that should survive termination shall survive.
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Legal proceedings shall be brought exclusively in Ontario courts.
Changes to Terms
We may modify these Terms at any time. Changes are effective when posted. For material changes, we will make reasonable efforts to notify you.
